In general, however, branches are not a common form of foreign investment as only a small number of organizations are allowed to do so.<\/p>\n\n\n\n<p>In fact, apart from the culture, education, tourism, banking, tobacco, legal and aviation industries, few branches have been established in Vietnam.<\/p>\n\n\n\n<p>Foreign companies can set up branches in Vietnam with prior approval from the government. The conditions for obtaining a branch license are very simple. Generally, a foreign company is granted a branch license if it meets the following conditions:<\/p>\n\n\n\n<h3>Conditions for granting a branch license <\/h3>\n\n\n\n<ul><li>Possess a legal certificate of corporate registration in accordance with the laws of the applicant&#039;s country.<\/li><li>More than 5 years have passed since the company was registered.<\/li><\/ul>\n\n\n\n<p>Applications must be submitted with MoIT (Ministry of Industry and Trade) approval.<br>The eligibility criteria and procedural guidelines for setting up a branch office by a foreign-invested company in Vietnam should be consulted. A branch license is valid for five years from the date of license and is renewable.<\/p>\n\n\n\n<h2><span class=\"ez-toc-section\" id=\"%E3%83%99%E3%83%88%E3%83%8A%E3%83%A0_%E3%83%9B%E3%83%BC%E3%83%81%E3%83%9F%E3%83%B3%E3%81%A7%E9%A7%90%E5%9C%A8%E5%93%A1%E4%BA%8B%E5%8B%99%E6%89%80%E3%81%AE%E8%A8%AD%E7%AB%8B%E6%96%B9%E6%B3%95\"><\/span>How to set up a representative office in Ho Chi Minh City, Vietnam<span class=\"ez-toc-section-end\"><\/span><\/h2>\n\n\n\n<p>A representative office is not an independent legal entity and cannot carry out direct business activities involving the execution of contracts, the receipt of funds, the sale and purchase of goods or the provision of services.<\/p>\n\n\n\n<p>A representative office is commonly used as a research stage for foreign companies looking to enter Vietnam. A renewable representative office license, valid for up to five years, will be issued within 15 working days of receipt of the application.
